License Agreement Terms
EG-Insights License Agreement
This Annual License Agreement (“Agreement”) is entered into by and between the subscribing entity or individual (“Client”) and Pivotal Insights, LLC (“Licensor”), a Georgia limited liability company, for access and use of the EG-Insights web-based platform (“Platform”).
By subscribing to and using EG-Insights, the Client agrees to the terms and conditions outlined below.
1. License Grant
Pivotal Insights hereby grants the Client a non-exclusive, non-transferable, revocable license to access and use the EG-Insights platform solely for the purpose of distributing assessments to clients and reviewing results within the scope of coaching or counseling services.

The Client acknowledges and agrees that:
a) The insights and indicators produced by the EG-Insights platform are based solely on the responses submitted by their own clients.
b) Pivotal Insights makes no claims or guarantees regarding the accuracy, predictive value, or therapeutic outcomes of the assessments or the resulting indicators.
c) The indicators are intended to be interpreted and presented by licensed or certified professionals (e.g., coaches, counselors, therapists) who are familiar with personality profiling frameworks.
4. Indemnification
The Client agrees to indemnify, defend, and hold harmless Pivotal Insights, its officers, directors, employees, and affiliates from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:
5. Intellectual Property
All intellectual property rights in the EG-Insights platform, including its design, software, indicators, algorithms, and branding, remain the exclusive property of Pivotal Insights. The Client shall not duplicate, modify, reverse engineer, or distribute any portion of the platform without express written permission.
6. Termination
Pivotal Insights reserves the right to terminate this license at any time, with or without cause, by providing written notice to the Client. Upon termination, all access to the platform and associated data will be discontinued unless otherwise agreed in writing.
7. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of laws principles.
8. Dispute Resolution
Any disputes arising out of or relating to this Agreement shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. Arbitration shall be conducted in Georgia, and the prevailing party shall be entitled to recover reasonable attorney’s fees and costs.
9. Limitation of Liability
In no event shall Pivotal Insights be liable for any indirect, incidental, special, or consequential damages, or for any loss of profits, revenue, or data, arising out of the use or inability to use the EG-Insights platform, even if advised of the possibility of such damages.
10. Entire Agreement
This Agreement constitutes the entire agreement between the parties and supersedes all prior discussions or understandings regarding its subject matter. Any modifications must be in writing and agreed to by both parties.

2. Subscription Terms
- This license is paid through a monthly subscription as part of an annual license term.
- The subscription automatically renews each month unless cancelled by either party in writing with 30 days’ notice.
- Failure to maintain payment may result in suspension or termination of access.

- The Client’s use or misuse of the EG-Insights platform.
- The interpretation or delivery of assessment results to end clients.
- Any failure to comply with applicable laws, professional licensing, or ethical obligations.
5. Intellectual Property
All intellectual property rights in the EG-Insights platform, including its design, software, indicators, algorithms, and branding, remain the exclusive property of Pivotal Insights.
